The terms under which we provide our services.
These Terms & Conditions govern the provision of services by Fundacja Rozwoju Przedsiebiorczosci Twoj Startup (operating as ilf.studio), ul. Żurawia 6/12, Warszawa 00-503, Poland (NIP: 5213641211), hereinafter referred to as "the Studio" or "we", to the client ("Client" or "you").
ilf.studio provides the following services:
The specific scope, deliverables, timeline, and pricing for each project are agreed upon individually and confirmed in writing (email or project agreement) before work begins.
A project is considered agreed upon once the Client confirms the proposal in writing and makes the agreed upfront payment (if applicable). The Studio reserves the right to decline projects at its discretion.
Estimated timelines are provided in the project proposal. Timelines are conditional on the Client providing necessary content, assets, feedback, and approvals in a timely manner. Delays caused by the Client do not extend the Studio's delivery obligations beyond the adjusted timeline.
Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions or changes to the agreed scope may be billed at the Studio's current hourly rate. Significant scope changes require a new written agreement.
The Client is responsible for:
Upon full payment, the Client receives ownership of all custom code, designs, and content created specifically for their project. The Studio retains the right to reference the project in its portfolio and marketing materials, unless otherwise agreed in writing.
Third-party components (libraries, frameworks, stock assets) remain subject to their respective licenses. The Studio will notify the Client of any relevant third-party licensing requirements.
Both parties agree to keep confidential any non-public information shared during the project. This includes business data, technical specifications, pricing, and any materials marked as confidential. This obligation survives project completion.
Payments made for completed milestones or delivered work are non-refundable. If the Studio fails to deliver as agreed, the Client may request a partial refund for undelivered work, calculated proportionally.
Upfront payments for projects cancelled by the Client before work begins are refundable minus any setup or planning costs already incurred (minimum 10% administration fee).
The Studio's total liability for any claim arising from a project shall not exceed the total amount paid by the Client for that project. The Studio is not liable for indirect, consequential, or incidental damages, including but not limited to loss of business, revenue, or data.
The Studio is not responsible for third-party service outages (hosting, payment processors, APIs) or damages caused by the Client's modifications after project delivery.
Either party may terminate an ongoing agreement with 14 days written notice. Upon termination, the Client pays for all work completed up to the termination date. Completed and delivered work remains the Client's property upon payment.
These Terms are governed by the laws of Poland. Any disputes shall be resolved through good-faith negotiation first; if unresolved, through the competent courts in Warsaw, Poland.
We may update these Terms from time to time. Existing clients will be notified of material changes. Continued engagement with the Studio after changes constitutes acceptance of the updated Terms.
